ILLINOIS REGISTERED AGENT TERMS OF SERVICES

Illinois Registered Agent, Inc. ("Illinois Registered Agent") is a service company designed to provide various business services including but not limited to: registered agent representation (also known as resident agent or statutory agent services). Illinois Registered Agent uses the information provided by the client on a Required Info form, and/or verbally or by email, for the maintenance of the client’s account and/or for information required on Illinois State forms. Illinois Registered Agent is not a law firm and neither Illinois Registered Agent nor any of its employees provide legal advice, however, Illinois Registered Agent representatives may express their opinions and provide accurate and authoritative information and services with regard to the subject matter covered. Further, no representations or warranties, expressed or implied, are given regarding the legal or other consequences resulting from the use of our services or forms and all services and information provided to the client are offered with the understanding that they are to be used in a legal and prudent manner.

LIABILITY: Illinois Registered Agent, its agents, representatives and employees specifically disclaim any warranty beyond the limited warranty stated herein, whether express or implied, including the implied warranties of merchant-ability and fitness for purpose. Under no circumstances are Illinois Registered Agent, its advisers, agents, representatives or employees liable or responsible for any damage or inconvenience caused or alleged to be caused by the use of our services. Illinois Registered Agent does not assume any legal, financial or other liability or responsibility for the accuracy, completeness or usefulness of any official documents prepared and/or filed by a client directly with a jurisdiction filing agency by the client. Any documents prepared and/or filed by the client are subject to review for correct information and Illinois Registered Agent will not be liable for any fees associated with subsequent corrections, amendments or any other type of revisions for documents not prepared and filed by Illinois Registered Agent. Illinois Registered Agent's financial liability is limited only to amounts paid to Illinois Registered Agent. Unless otherwise specified in service or contract Illinois Registered Agent’s statutory or contract representation services are limited to the receipt and forwarding of items covered by the respective statute, rule, regulation or contract, and do not include the provision of a business or mailing address independent of such statute, rule, regulation or contact. Illinois Registered Agent has no obligation to forward any items received pursuant to any unauthorized use of Illinois Registered Agent's address and assumes no liability to Client or any other party for loss of such items. Client assumes all liability for such losses regardless of whether Client had approved or initiated the unauthorized use. Illinois Registered Agent may seek reimbursement from Client for any and all costs incurred in connection with the unauthorized use of Illinois Registered Agent’s address. The address Illinois Registered Agent provides is for the primary purpose of fulfilling state statutes per "Service of Process". Said address is used to receive service of process and Illinois Secretary of State documents and correspondence on behalf of the client. Unless otherwise specified the Primary Business Address listed on any filed document needs to reflect the primary business address the company operates from regardless of what state that address is in. Except in the case of Illinois Registered Agent's proven negligence or willful misconduct, in either of which events Illinois Registered Agent's liability (in the aggregate) shall not exceed the fees charged for services, Illinois Registered Agent’s entire liability and Client's exclusive remedy for damages due to performance or non-performance of Illinois Registered Agent, for any cause or service whatsoever, regardless of the form of action, whether in contract or in tort, shall be limited to the refund of the service fee specifically related to the performance or non-performance of the direction of Client. When receiving process on behalf of Client, Illinois Registered Agent shall in no event be responsible for any part of the underlying claim. In no event does Illinois Registered Agent assume any liability whatsoever to any party other than the Client for Client's use of Illinois Registered Agent's services, and Client agrees to indemnify Illinois Registered Agent against any claims brought by such parties. Client is prohibited from assigning any cause of action or remedy to any third party and is further prohibited from encouraging any third party from bringing any cause of action against Illinois Registered Agent. While Illinois Registered Agent takes reasonable steps to provide complete and accurate services, Illinois Registered Agent cannot warrant or guarantee that its services are complete or error free. Illinois Registered Agent is not an insurer with regard to the services performed. In order to obtain Illinois Registered Agent’s services, Client agrees to assume the risk for any and all liabilities disclaimed by Illinois Registered Agent and all damages in excess of the limited remedy provided herein. Illinois Registered Agent shall not be liable to Client or any third party for any direct, indirect, special consequential or incidental damages (including damages for loss of business profits, business interruption, loss of business information, and the like) arising out of the use of Illinois Registered Agent’s services, even if Illinois Registered Agent has been advised of the possibility of such damages.

CLIENT RESPONSIBILITY: Client assumes liability for all charges incurred as a result of any and all services performed by Illinois Registered Agent on Client's behalf or upon Client's direction. Such charges shall be due and payable prior to receipt of Illinois Registered Agent’s physical address and/or upon the anniversary date of the entities existence in the state of Illinois. Client accepts full responsibility for the proper and legal use of the information and/or services so provided and for complying with any tax consequences or tax filing requirements arising as a result. It is the Client's sole responsibility to keep Illinois Registered Agent informed as to any changes in address, or of changes of persons authorized to receive Illinois Registered Agent notifications, reports, processes and legal matters. Such changes are deemed to be effective when entered into Illinois Registered Agent’s client database system.

REGISTERED AGENT SERVICE: Any documents filed listing Illinois Registered Agent as the registered agent must have Illinois Registered Agent’s name stated as "Illinois Registered Agent Inc." (excluding quotation marks). If client prepares and files any document with Illinois Registered Agent’s name in any other form, Illinois Registered Agent can not guarantee that services can/will be performed and client will be responsible for any fees associated with amending the document to the correct name format.

DELIVERABLE DOCUMENTS TO CLIENT: Illinois Registered Agent will only forward Illinois Secretary of State notices and annual reports and items receive via service of process. Please note that collection letters, accounts receivable/payable, tax documents and tax notifications are considered day to day operational mail are not included in the documents we will deliver. Especially Tax and regulatory documents required by the State or other government agencies are confidential and not included in the documents we will delivery. These agencies must be notified of your principal office address. Illinois Registered Agent Inc. does not act as a principal office address.

Unless otherwise directed by the client, all service of process will be delivered by standard US mail to the address on file with Illinois Registered Agent at the time served. Client bears all responsibility to maintain a current forwarding address with Illinois Registered Agent, Inc. Excessively large or frequent service of process may result in additional postage and forwarding fees for the client.

DISCONTINUING AGENT SERVICE: Client acknowledges and agrees that if the client does not renew agent representation prior to the anniversary date of state acceptance of the previous agent change, formation or qualification in Illinois, Illinois Registered Agent shall resign as agent for service of process and acceptance of correspondence upon 60 days post due date. A Late fee of $5.00 will apply to those invoices not paid when due.

VOLUNTARY OR INVOLUNTARY DISSOLUTION OF COMPANY: If the entity either voluntarily or involuntarily discontinues business or abandons said entity or discontinues service where Illinois Registered Agent serves as registered agent, the client acknowledges and agrees that the entity will be properly and legally dissolved, withdrawn or canceled or otherwise properly terminated and/or the company shall assign another registered agent, or, the client must resign Illinois Registered Agent in Illinois and pay all filing fees related to same. Note that if at least one of these conditions is not satisfied before the date the registered/resident agent service is renewable, Illinois Registered Agent shall resign as agent for service of process and acceptance of correspondence upon the entity's anniversary date as specified above. A late fee will be assessed on late renewals and we reserve the right to withdraw as agent for failure to renew, or give notice of a change in agents or to notify us of a termination pending with the State of Illinois.

NEGOTIATED PRICING: Any special or reduced product or service pricing in recognition of quantity or other consideration is provided with the understanding and acceptance that all renewals are to be paid on or before the anniversary date of the renewal. If an invoice with items billed at a special pricing rate is not paid on or by the anniversary date, Illinois Registered Agent reserves the right to revert pricing on those items to its standard rate and to charge a late fee for each entity not renewed on time.
