Background:

Illinois LLC 1.36/1.37 Agent change forms are one of the easier forms to file with the Secretary of State.

However, there are certain situations where the state will not accept a change in agent. For example, If your company is not in good standing in Illinois, the State will not accept any filing, including the agent change forms.

Also, if you do not renew your registered agent’s representation, the agent themselves can withdraw as your agent by filing a Notice of Resignation as Agent with the State of Illinois. Numbered items in the article below correspond to the numbered questions on the form. Unless indicated as optional, all questions must be completed.

1). Limited Liability Company name that is on file with the Secretary of State’s office.

2.) The name of your current Registered Agent and their registered office address, including street and number or rural number, city, zip code and county that is on file with the Secretary of State’s office.

3.) The name of the Registered Agent that you intend to appoint to this position including the street and number or rural number, including city, zip code and county.

4.) Statement that the Registered Agent and Registered Office address are identical.

5.) How was the change of agent authorized.
a) by the members or managers.
b) by the action of the Registered Agent

  1. Signature of the appropriate party of this document would be based on what box was ticked in item 6.
  • If item 6a was chosen, the LLC 1.36/1.37 form will be executed by a member or manager of the LLC and their title should be either Member or Manager.
  • If item 6b was chosen, the Registered Agent filing the form would be signing.

FILING OPTIONS:

Filings can be submitted by overnight mail, standard mail, fax or can be hand delivered in person. The filing fee when delivered by standard U.S. mail is $25.00. However, all other forms of filing would be considered expedited with an additional $50.00 fee included along with the filing fee.

You will be given the option for a routine filing (10-day Turn-around) or expedited filing (24 to 48- hour turn-around). Expedited filing will cost an additional $50.00 on top of the $25.00 filing fee.

Entity Status:

Call the Illinois Secretary of State to determine if the company is in good standing (217-524-8008). The state will not accept any filings on behalf of any company who is not current with annual report filings.
